Terms of Service for Just Sculpt LLC

Welcome to Just Sculpt LLC. These Terms of Service ("Terms") govern the purchase and use of our products, including but not limited to art tools and anatomical products, available through our business-to-business (B2B) platform. By placing an order, you agree to be bound by these Terms.

1. Products and Services

Just Sculpt LLC specializes in providing art tools and finished anatomical products for business use. Products are offered subject to availability, and specifications may be subject to change without notice. Custom orders are final and may not be returned or exchanged.

2. Pricing and Payment Terms

(a) Pricing: All prices are listed in U.S. dollars and are exclusive of taxes, shipping, and handling fees unless otherwise noted.

(b) Payment Terms: Payment is due at the time of order placement unless otherwise agreed upon in writing. We accept major credit cards, wire transfers, and approved purchase orders. Late payments may incur a finance charge of 1.5% per month or the maximum rate allowed by law.

3. Limited Warranty

(a) Warranty Coverage: We warrant that our products will conform to the specifications outlined in their technical documentation for the duration of their stated shelf life.

(b) Exclusions: This warranty does not cover defects resulting from:

  • Improper handling, storage, or misuse;
  • Unauthorized alterations or modifications;
  • Normal wear and tear;
  • Use beyond the product's stated shelf life.

(c) Claims Process: To initiate a warranty claim, contact us within 7 calendar days of receiving a product. At our discretion, we will either replace, repair, or refund the defective product. Shipping fees for returns and replacements will be covered by Just Sculpt LLC.

4. Returns and Refunds

Returns for non-defective products are subject to prior authorization and a 15% restocking fee. Custom orders and opened products are non-returnable. To request a return, contact us within 14 days of receipt of goods.

5. Intellectual Property

(a) Ownership: All intellectual property, including trademarks, copyrights, and patents associated with our products and services, remains the exclusive property of Just Sculpt LLC.

(b) Prohibited Actions: You agree not to reproduce, reverse-engineer, or distribute any products or related materials without prior written consent from Just Sculpt LLC.

6. Limitation of Liability

To the fullest extent permitted by law, Just Sculpt LLC will not be liable for any indirect, incidental, or consequential damages, including loss of profits, business interruption, or reputational harm. Our total liability for any claim will not exceed the amount paid for the specific product giving rise to the claim.

7. Indemnification

You agree to indemnify, defend, and hold harmless Just Sculpt LLC and its affiliates, employees, and agents from any claims, liabilities, or expenses arising from:

  • Your breach of these Terms;
  • Your use of our products in violation of applicable laws or regulations;
  • Claims alleging harm caused by your modifications or misuse of our products.

8. Compliance with Laws

You agree to comply with all applicable laws and regulations, including export control laws, when purchasing and using our products. It is your responsibility to pay any applicable taxes, duties, or fees associated with your purchase.

9. Force Majeure

Just Sculpt LLC will not be held liable for delays or failures caused by events beyond our reasonable control, including natural disasters, labor disputes, supply chain interruptions, or governmental actions.

10. Governing Law and Dispute Resolution

(a) Governing Law: These Terms are governed by the laws of the State of New York without regard to its conflict of law provisions.

(b) Arbitration: Any disputes arising under these Terms will be resolved through binding arbitration administered by the American Arbitration Association (AAA). The arbitration will take place in New York, NY, and the decision of the arbitrator will be final and binding.
